I think you have to remember that the TTT is the middle of 'long' book, and FOTR is the beginning, therefore it's very difficult (for me at least) to say which is superior.
FOTR has much more of a plot, and much more of a "human" side to it, with the introduction of the characters, and their "bonding" to one-another.
Also, it's more like a real adventure with an unknown path. The characters traversed many more "different/unknown worlds or roads" if you will.
TTT is more straight-forward, and the audience knows more or less where each character is headed. It just didn't feel like they "traversed" or "adventured" as far or long in the second installment.
The movie was focused more on the battles and the physical. In that, TTT is an epic (which could have been made to have more of an impact if it were a little more grapic, along the lines of Braveheart. So it would've been R rated then. Screw the little kids, it's not a really a childrens story anyhow-- this aint Harry Snotter).
Also, PJ strayed the story in TTT more than he did in FOTR, which I wasn't too crazy about.
All that said, I give a slight razors edge to TTT, becasue I'm a bit more enticed by action, and those scenes were nonetheless stupendous.
I can't wait for the extended DVD release to come because I'm sure there will be alot more in it than there was in the FOTR extended.
