1. Demux both videos to elementary streams, discarding the unwanted ones. If in .AVI format, you can use VirtualDub to save the WAV.
2. Convert the audio stream to .WAV, if not already. I like to use WinAmp's Disk Writer Output for MPEG audio so I can apply a quick&dirty equaliser.
3. Use TMPGEncXpress 3.0 to set the audio delay to be correct for the START of the movie. On the Cut-Edit screen, use both the video window and amplitude graph together to get it right.
4. On the Set Output screen, select Wave Output, and encode the .WAV file.
5. Load the video and the new .WAV file into TMPGExpress and figure out how far out of sync the audio is at the END of the movie (assuming you got the audio delay correct in steps 3 & 4). For example, a gun fires on screen at 01:30:15,500 but the shot sound occurs at 01:30:16,750 means a 1250ms positive desync.
6. You'll need CoolEdit Pro, WaveLab, SoundForge or any other top-flight audio authoring program with a decent TIME STRETCH function. I recommend WaveLab, or CoolEdit with Resample Only & Gliding Stretch.
7. In whatever you're using (they all have their own quirks), you should see the source time and a dialogue for the required time. The required time should be the source time minus whatever the desync time was from step 5. Remember, minusing a negative produces a positive. Set it off, and frankly, hope for the best (more quirks). Save the .WAV.
8. Load up your video & the newer new .WAV file into TMPGEnc and check the sync at the end of the movie. If good, encode the file to whatever you want. If not, rant&rave, then repeat steps 5 - 7.
